Terms of Service

Chapter 1 General

Article 1 Purpose

The purpose of these Terms and Conditions is to stipulate the rights and obligations between the Company and the Member when the Member uses the WISE COMMERCE Service (hereinafter referred to as the "Service") provided by Wise Commerce Corporation (hereinafter referred to as the "Company") and the influencer marketing service (hereinafter referred to as the "Marketing Service") provided through Wiinfluencer.

Article 2 Definition of Terms

1. The definitions of the terms used in this Agreement are as follows.

  • ① Service: means an API application or web/app service developed by the Company to interconnect the services that the Member is using or intends to use through the API and to receive and perform cargo transportation and simplified export declaration agency services from the Member.
  • ② Marketing Service: means the provision of influencer marketing functions for products sold by the Member through Wiinfluencer operated by the Company.
  • ③ Member: Refers to a person who has registered as a member of the Service and can continue to use the services provided by the Company.
  • ④ Non-member: A person who uses the services and marketing services provided by the Company without registering as a member.
  • ⑤ User: Refers to both members and non-members.
  • ⑥ ID: means a combination in the form of an email selected by the Member and verified by the Company for identification of the Member and use of the Service.
  • ⑦ Password: means a combination of letters or numbers determined by the "Member" for personal information and verification of the Member.
  • ⑧ Domain: means a unique Internet address applied for by the Member and granted by the Company for the Member's use of the Service. For all services provided by the Company, the Company may provide additional separate domain addresses depending on the service.
  • ⑨ Content: means the posting of texts and images that record a comprehensive evaluation of products.
  • ⑩ Dormant Account: means an account that has not been used for some time and has limited functions such as login.
  • ⑪ Withdrawal: means to cut off the relationship with a service or organization that was in a relationship with the Company and withdraw.

2. The definitions of terms used in these Terms shall be as stipulated in the relevant laws and regulations and service-specific guides, except as stipulated in Paragraph 1.

Chapter 2 Member Account and Agreement

Article 3 Member Registration

1. To join WISE COMMERCE as a member, you must submit a 'Sign Up' form on the WISE COMMERCE homepage. The Company accepts membership applications in the order of receipt unless there are special circumstances.

2. If the Company recognizes any of the following items, the Company may reject the membership application.

  • ① If there are any falsehoods, omissions, or errors in the registration application.
  • ② The applicant has attempted to steal another person's ID, password, API KEY, etc.
  • ③ If the applicant's company is found to be in a state of delinquency, insolvency, or other similar bad credit.
  • ④ If it is determined that the applicant is likely to violate the public order of society or harm the sound transaction order.
  • ⑤ If the applicant applies for registration to interfere with the operation of this system.

Article 4 Notification to Members

1. The Company may notify the Member at the e-mail address designated by the Member in advance by agreement with the Company.

2. In the case of notifications to an unspecified number of members, the Company may replace individual notifications by posting them on the WISE COMMERCE notice board for more than one week. However, individual notifications shall be made for matters that have a significant impact on transactions with specific members.

Article 5 Obligations of the Company

1. The Company shall endeavor to provide the Services outlined in these Terms of Use to Members continuously and stably.

2. The Company shall have a security system to protect Members' personal information (including credit information).

3. The Company shall not engage in any acts prohibited by relevant laws and regulations and these Terms of Use.

Chapter 3 Services

Article 6 Provision and Use of Services

1. The Company provides the following services to members.

  • ① WISE COMMERCE Service
    A) Collect and manage orders collected through multiple channels in one place
    B) Delivery processing by linking the e-commerce system and open market account used by the member with a carrier
    C) Provide channel-specific web pages for receiving return requests and processing returns
    D) Inventory management: Manage inventory information for multiple warehouses and warehouses
    E) Other duties as determined by WISE COMMERCE
  • ② Marketing Services
    A) Recruitment and selection of influencers to promote the member's goods or services
    B) Providing information on the effectiveness of targeted links shared through the activities of influencers
    C) Providing information on social media content created through the activities of influencers
    D) Other tasks determined by WISE COMMERCE

2. Members can use the Service from the time the Company accepts the membership application. However, in the case of some services, the service starts from the specified date, and in the case of 'paid services', the service is provided after payment is completed.

3. If the Company is unable to start using the Service due to business or technical obstacles, the Company shall notify the Member on the Site or notify the Member.

4. The use of the service is based on the principle of 24 hours a day, 7 days a week. However, the service may be suspended for business or technical reasons. In such cases, the Company will notify you in advance or afterward.

5. The Company may check the status of service provision by logging in to the member's account for the smooth provision of services.

Article 7 Use and Payment of Paid Services

1. The Company provides several paid services in the form of 'plans' with different limits on the number of uses for each service and may add or change the service contents according to the Company's circumstances and other conditions.

2. The Company provides information through the purchase page so that the member can accurately understand the contents, price, period of use, and matters related to the selection of the paid service before paying for the paid service and transact without mistake or error.

3. The paid service begins when the member selects the paid service and completes the payment (when the 'Purchase/Payment Completed, etc.' indication of the paid service is procedurally displayed to the member). However, if the paid service cannot be initiated due to technical reasons or other circumstances, the Company shall notify the member in advance by the method in Article 4.

4. The member can pay for the paid service by the method prescribed by the company.

Article 8 Change of Paid Services

1. The Company may change the price of the paid service supplied according to operational and technical needs and shall notify the 'member' using the 'paid service' in advance according to the method in Article 4.

2. A member may apply for a change to a paid service already subscribed to by the policy established by the Company, and the service will be immediately replaced with the service requested by the member. At this time, the Company shall adjust the period of use and apply a new payment cycle.

3. Even if the value of the paid service is not changed by the Company, the Member may change it by selecting a different 'plan'. If the 'plan' is changed, the monthly billing fee of the changed 'plan' will be paid, the period of use will also be adjusted and a new payment cycle will be applied.

Article 9 Cancellation, Termination, and Refund of Paid Services

1. Members can apply for subscription cancellation at any time through the management page in the service, customer center phone, and inquiry, and the company will promptly process it according to the procedures prescribed by related laws and regulations.

2. If you cancel your subscription without using the service, you can receive a refund of 100% of the paid service payment amount before 7 days after the payment date, and 90% of the payment amount after 7 days after the payment date.

3. If you have used the service, the refund amount will be prorated, excluding the number of days you used the service. Within 24 hours of the payment time, the user will be refunded in full, and from 24 hours to 30 days after the payment time, the user will be refunded on a prorated basis for the remaining days. The prorated amount is the amount excluding card fees and discounts applied and will be refunded on a prorated basis for the number of days remaining.

4. If there is a refund amount after confirming the member's subscription cancellation, in principle, within 3 business days from the date of receipt of the member's corresponding expression of intent, the Company shall request the payment method provider to suspend or cancel the billing of the payment and refund the amount to the same payment method used by the member. However, if the Company notifies the member in advance and each of the following cases, there may be differences in the refund method and refund period for each payment method.

  • ① In the case of payment methods that require payment confirmation, such as credit cards, within 3 business days from the date of payment confirmation.
  • ② In the case of a refund past the applicable deadline, if the provider of each payment method has set a deadline for suspending billing or canceling payment in advance through an agreement with the Company.
  • ③ If the member fails to promptly provide the Company with information or materials necessary for refund processing (e.g., fails to submit a copy of the applicant's account and identification card in the case of a cash refund, or provides an account in the name of another person, etc.)
  • ④ If there is an express intention of the member.

5. the Company shall not be obligated to refund the paid service payment to the Member for the paid service that the Member uses without directly paying for it, such as acquiring the paid service for free or free of charge through promotions, etc.

6. If there is any amount to be refunded after the Company terminates the contract or restricts the use of the service by Article 13, the Company shall apply the refund standard outlined in this Article to deduct and refund the amount. However, in this case, the member may appeal the measure by the procedure established by the company, and if the company recognizes that it is justified, it will immediately resume using the service.

7. The Company shall not charge any penalty or damages to the Member for canceling the subscription, and it shall not affect the Member's claim for damages due to the termination of the contract.

8. A member who wishes to maintain the paid service shall take measures in advance to prevent the delinquency of the usage fee or payment method from occurring.

9. If a member violates the preceding paragraph and delinquently pays the fee for the paid service while using the paid service under regular payment based on the application or consent of the paid service, the paid service will be terminated and converted to a free service plan 7 days after the date of delinquency.

10. If a member who is using the paid service terminates the membership contract, the paid service is immediately terminated, and the company refunds the member's service after deducting the number of days of service use, usage history, and the amount of discount received. In this case, the Company shall process the information and usage of the member who used the paid service by these Terms and Conditions, except as stipulated by relevant laws and regulations.

Article 10 Refusal of Service by the Company

The Company may refuse to provide services to the Member by these Terms of Use if it determines that any of the following items apply or are likely to occur.

1. If there are any falsehoods, omissions, or errors in the contents of the member's information provision and service request

2. if it is necessary to comply with laws, government regulations, orders, and instructions

3. if the Company determines that performing the services requested by the Member may endanger or significantly affect the safety of other cargo, other people's property, or human life.

Article 11 Member's Withdrawal

1. A Member may request to withdraw from WISE COMMERCE at any time by these Terms of Use, and the Company may process the withdrawal immediately.

2. If a Member requests to withdraw from membership, the Company shall process the administrative termination of the contract and limit and suspend the account of the registered Member.

3. Concerning Paragraphs 1 and 2 above, for a Member to withdraw and terminate the Use Agreement, all transactions of the Company's ongoing services to the Member must be completed, and the Member shall bear any disadvantages caused by the termination of the ongoing services.

4. The member shall bear the disadvantages caused by the termination of the WISE COMMERCE Terms of Use, and the Company may recover various benefits provided to the member upon termination of the Terms of Use.

5. If the WISE COMMERCE Terms of Use are terminated due to the withdrawal of the Member or the expiration of the term, the Company shall settle the service charges incurred until the date of termination or expiration and invoice the Member, and the Member shall pay the service charges within 10 business days from the date of receipt of the invoice.

6. The Company may immediately restrict or suspend the qualification of the Member if any of the following reasons apply.

  • ① If false information is found in the application details.
  • ② If the member fails to fulfill the obligations incurred by the member, such as non-payment of service fees, within the due date.
  • ③ Threatening the order of e-commerce, such as stealing other people's information.
  • ④ If the member uses WISE COMMERCE to perform acts prohibited by relevant laws and these terms and conditions or contrary to public order and morals.
  • ⑤ Infringement of copyright and other rights of the Company, other members, or others.
  • ⑥ If you plan or execute the use of the service to undermine national interest or social public interest
  • ⑦ Disseminating computer virus programs, etc. that cause malfunction of information and communication facilities or destruction of information, etc.
  • ⑧ Reproducing, distributing, or commercially using information obtained through the use of the Company's services without the prior authorization of the Company.
  • ⑨ If the member violates the obligations outlined in these Terms of Use.
  • ⑩ If the member has committed any act that violates other relevant laws or the terms of use set by the company.

Article 12 Compensation for Damages and Scope of Liability

The Company shall be liable for any damages incurred by the Member that are determined to be the responsibility of the Company by these Terms of Use. However, if the Terms of Use do not stipulate or the Terms of Use are not issued, the laws of the Republic of Korea and/or related cases shall apply.

Article 13 Limitation of Liability of the Company

The Company shall not be liable for compensation for damages caused by any of the following reasons.

1. force majeure

2. services not provided by the Company

3. if the Company suspends the service after prior notice due to unavoidable circumstances such as service diagnosis, except when the Company suspends the service due to intentional or gross negligence

4. If the Company suspends the Service to execute prior notice or announce regular maintenance by Article 4.

5. If an infringement occurs due to the member's negligence of system security management

6. if the Service is suspended due to a national emergency, nationwide network failure, or equivalent force majeure

7. if the service is suspended to prevent the spread of an incident that has occurred in the member's system using the service

8. If the service is interrupted due to illegal infringement from outside, even though the Company has taken protective measures by relevant laws and regulations.

9. in the case of services provided free of charge to customers

10. other reasons beyond the control of the Company

Article 14 Obligations of Members

1. Members shall comply with the relevant laws and regulations, provisions of the Terms and Conditions, and matters notified by the Company, such as user guides, and shall not engage in other acts that interfere with the Company's business.

2. The responsibility for any problems that occur during the operation due to not checking the terms and conditions shall be solely attributed to the member, so the member must carefully review these terms and conditions before using the service.

3. The information entered by the member shall be truthful, and if the user enters false or untrue information and causes damage to the company or other users, all responsibilities, including civil and criminal liability, shall be attributed to the member himself.

4. Members shall use the Services in the manner prescribed and recognized by the Company.

5. Members shall not engage in any of the following acts in connection with the use of the Service.

  • ① Registration of false information when applying for or changing the Service
  • ② Make changes to the information posted by the Company without permission from the Company.
  • ③ Transmitting or posting information (computer programs, etc.) other than the information specified by the Company, creating an Internet link to the WISE COMMERCE Platform, or "framing" or "mirroring" the App to another server or wireless or Internet-based device.
  • ④ Stealing other people's personal information or IDs and passwords.
  • ⑤ Infringe on the intellectual property rights, including copyrights, of the Company and other third parties.
  • ⑥ Actions that damage the reputation or interfere with the business of the Company and other third parties.
  • ⑦ Disclosing or posting obscene or violent messages, images, voices, or other information contrary to public order and morals to the Company.
  • ⑧ Making statements that interfere with the Company's business without a legitimate reason.
  • ⑨ The act of duplicating, disassembling, imitating, or otherwise modifying the service through any kind of processing, and the act of accessing the app for the purposes listed in Paragraph 10 of this section.
  • ⑩ The act of interfering with the Company's normal service by causing a load on the Company's server by using the Service in a manner different from normal use, such as reverse engineering, web spider, web crawler, web robot, web ant, web indexer, bot virus or worm to design a product similar to WISE COMMERCE, or running an automatic program or script.
  • ⑪ Acts that violate other related laws or regulations separately announced by the Company.

6. If the member violates the obligations under these Terms of Use or interferes with the normal operation of the service, the company may restrict the use of the service in stages by warning, suspension, permanent suspension, etc.

Article 15 Attribution of Intellectual Property Rights and Restriction of Use

1. Copyright and any other intellectual property rights for works created by the Company shall belong to the Company.

2. Members shall not reproduce, transmit, publish, distribute, broadcast, or otherwise use the information obtained by using the WISE COMMERCE Service for commercial purposes or cause a third party to use the information to which the intellectual property rights belong to the Company without the prior consent of the Company, and shall compensate the Company for any damages caused by this.

Chapter 4 Marketing

Article 16 Rights and Responsibilities of Posts

1. The responsibility and rights for posts created by influencers belong to the influencer who registered the post. However, for posts or content created by paying rewards or subsidies to influencers and provided to the Service, the Member shall have the right to use such content domestically and abroad for one year from the date of registering the content link.

  • ① The above rights include reproduction rights, exhibition rights, distribution rights, portrait rights, and the right to create secondary works, and the Company and the Member must indicate the source of the content when using the content.
  • ② The company may request the member to stop using the work after one year, and the member must respond to the request in good faith.
  • ③ The Company may request the Member to stop using the work if it is evaluated that the content may infringe on the rights of others or violate the Company's policies or applicable laws.

2. The Company cannot monitor and manage the contents created by users and is not responsible for them. The Company is not responsible for and does not guarantee the reliability, truthfulness, accuracy, etc. of the posts registered by users. However, the Company may take measures to sanction posts that violate the Company's operating policies or relevant laws (such as advertising and promotional posts, obscene, violent messages, and other posts that violate public order and morals).

Article 17 Management of Postings

1. If a user's post contains content that violates relevant laws such as the Information and Communications Network Act and the Copyright Act, the right holder may request the suspension or deletion of such post by the procedures outlined in the relevant laws, and the Company shall take measures by the relevant laws.

2. Even if there is no request from the right holder under the preceding paragraph, the Company may take temporary measures against the postings by the relevant laws if there are reasons to recognize infringement of rights or if the postings violate these Terms and Conditions, other Company policies, or relevant laws.

Article 18 Use of Services by Users

Concerning marketing services, the Company shall not be responsible for the details of products, etc. specified in the target link registered by the Member and the terms and conditions of the transaction.

Article 19 Indemnification of the Company

1. The Company operates, manages, and provides a system to expose the target link provided by the Member to the User, but does not represent the Member and the User, and the responsibility for the transaction established between the Member and the User and the responsibility for the information provided by the User shall be borne directly by the User.

2. The Company does not provide any guarantee or representation regarding the contents and transaction conditions of the products contained within the target link registered by the Member.

3. The Company shall not be liable for any failure to use the Service due to reasons attributable to the User or Member.

4. The Company shall not be liable for any damage caused by a user leaking or providing his/her personal information to others.

5. The Company may temporarily suspend the provision of the Service in the event of reasons such as natural disasters, maintenance, inspection, replacement of information and communication facilities such as computers, breakdowns, and communication interruptions, and shall not bear any responsibility in this regard unless there is intentional or negligent behavior.

Chapter 5 Privacy

Article 20 Member Information Protection Obligations

1. When collecting information from members, the Company may collect the minimum information necessary to fulfill the contract and process, store, and manage it. In this case, the information collected shall be subject to the member's consent to the collection and use of the information.

2. The Company shall not use the personal information provided by the member for any purpose or provide it to a third party without the consent of the member, except in the following cases.

  • ① When the Company obtains consent from the member to provide information to a third party in advance to provide this service.
  • ② If the information is necessary for statistical compilation, academic research, or market research and is provided in a form that does not identify a specific individual.
  • ③ When necessary for the settlement of payments for transactions such as goods and services.
  • ④ When necessary for identification to prevent theft
  • ⑤ When there is an unavoidable reason required by the provisions of the law

3. The collection and use of the member's personal information and provision to a third party shall be by the contents of the member's prior consent to the collection and use of personal information and provision to a third party and shall be notified in the company's privacy policy, which shall be posted on this service site.

4. Members may request to view and correct errors in the information held by the Company at any time, and the Company shall be obligated to take necessary measures without delay. If a member requests the correction of an error, the Company shall not use the personal information until the error is corrected.

5. The Company or a third party that has received personal information from the Company shall destroy the personal information without delay when the purpose of collecting or receiving the personal information has been fulfilled.

Chapter 6 Miscellaneous

Article 21 Effect of Terms of Use

1. The Company shall post the contents of these Terms of Use on the WISE COMMERCE homepage so that members can easily check them.

2. The Terms of Use shall take effect when the Member checks the Terms of Use through the WISE COMMERCE homepage and agrees to the contents.

3. The Company may modify, amend, or replace these Terms and Conditions from time to time at the Company's sole discretion to the extent that it does not violate applicable laws such as the "Act on the Regulation of Terms and Conditions" and the "Act on the Promotion of Information and Communications Network Utilization and Information Protection, etc." (hereinafter referred to as the "Information and Communications Network Act"). The revised Terms shall also apply to Members who joined before the revision.

4. If the Company revises the Terms, it shall specify the effective date, the contents of the revision, and the reason for the revision, and shall notify the Members in the manner prescribed above from 15 days before the effective date of the revised Terms (30 days before the effective date in the case of changes that are unfavorable to the Members or material) until a substantial period has elapsed after the effective date.

5. If the Company announces or notifies the Member of the revised Terms and Conditions and clearly states that the Member shall be deemed to have consented if he/she does not express his/her refusal within 15 days, but the Member does not express his/her refusal, the Member shall be deemed to have consented to the revised Terms and Conditions.

6. If the Member does not agree to the application of the Revised Terms, the Service may not be provided to the Member, and the Company may terminate the Member's Service Use Agreement.

Article 22 Governing Law and Jurisdiction

1. All disputes arising from these Terms of Use shall be exclusively governed by the laws of the Republic of Korea.

2. All lawsuits related to the Service under these Terms of Use, whether they are based on breach of contract, tort, or any other cause, shall be filed in the Seoul Central District Court of the Republic of Korea.

Addendum

The above Terms of Use shall apply from August 1, 2023.
